• Provide advice and assistance to business units on the foreign and U.S. international tax consequences of broad-based international business activities, transactions, and proposals. Develop strategies to minimize and mitigate foreign tax consequences in proposals for sales of services and goods to the U.S. Government and to foreign governmental and commercial customers. Advise on and structure foreign acquisitions, joint ventures, and dispositions to maximize after-tax returns. Defend foreign tax audits and prosecute refund proceedings. Ensure Corporation is tax-compliant in all countries of operation. Support Tax Administration on U.S. Federal income tax reporting of international activity. • Advise business units regarding the foreign corporate income tax, personal income tax, employment tax, and transactional tax consequences for international bids and proposals and for Lockheed Martin’s existing international business activities. Advise on which tax costs must be incorporated into bid pricing. Develop alternative bidding and contracting structures that minimize foreign tax consequences and assist with business unit assessment of alternatives to account for business constraints. • Support corporate development activities in evaluating, developing, and executing foreign acquisitions and joint ventures in a tax-efficient manner. Assist with identification and quantification of international tax costs or benefits in proposed transactions. Develop structures to mitigate or realize those costs or benefits. • Provide advice and support to other the Corporate Tax administrative and compliance functions on U.S. international and foreign tax issues. • Assist Lockheed Martin’s international subsidiary management, human resources, treasury, accounting, and other corporate staffs in tax aspects of supporting international business activities. Meet with representatives of other corporate staff functions and business units to explain, evaluate, and solve international tax issues applicable to their business support activities. • Defend tax controversies and prosecute refund proceedings involving taxes in foreign jurisdictions. • Direct ASC 740 and 450 evaluations of uncertain tax positions and APB 23 status, including assessment of reserve analysis and interaction with Corporate Accounting in tax reserve analysis. • Lead one or more international tax attorneys and actively develop their technical skills and Full Spectrum Leadership qualities. • Where applicable, direct the efforts of outside counsel and consultants.
Basic Qualifications • Admitted in good standing to bar of at least one state or DC • High level of personal and professional integrity • JD or LLB degree from accredited law school • Substantial knowledge of and experience with international tax laws • Transactional experience • Team player • Ability to work in a collaborative environment • Proven decision-making ability • Strong written and oral communication skills • Demonstrated ability to multi-task and handle multiple, sometimes conflicting priorities
Desired skills • 8-12 years’ tax law experience strongly preferred • Skill in applying foreign and U.S. international tax laws to foreign operations of U.S. multinational corporations • Experience with tax treaties, outbound and inbound transactions, foreign subsidiaries, cross-border M&A transactions, and drafting and negotiating tax provisions of acquisition and disposition agreements • Leadership and mentoring skills • Critical thinker who is well-organized and skilled at implementing tax advice in a business context with attention to detail • Ability to work without close supervision, to work directly with business and corporate staff personnel, and to assume responsibility • Experience working directly with business clients and working with foreign tax advisors at law firms or the foreign offices of Big Four accounting firm is preferred • Major law firm training or large company tax department experience • Aerospace/defense industry knowledge or experience is a plus but not required • LLM in Tax a plus, but not required
